Lions Club and break bread at the table,
I give a million thanks to God,
to know that I am able to meet there
with my friends, relax and play and sing,
to hear the speakers of the day,
the fine thoughts that they bring.
I realize that I have a part in caring
for the blind, also the under - privileged

Dear Lions,
Our District Constitution and Bye Laws originally adopted in the Mid Term Convention held at Dindigul on 3rd January 1993, amended in the Mid-term Convention held in Madurai on 25th October, 2014 and was further amended in the District Convention held at Kodaikanal on 18-19th April 2015.
I am pleased to present before you the District Constitution and Bye Laws as it stands today.

This Association shall be known as "The International Association of Lions Clubs- District 324-B3" or "Lions Clubs International District 324-B3" (hereinafter referred to as the "District").
SECTION 1
DISTRICT 324-B3 shall comprise
the Revenue Districts of Madurai, Sivagangai,
Dindigul & Theni in the State of Tamilnadu.
SECTION 1
Whenever a change is effected by
the Government in respect of the name and/ or
area of the revenue district, such changes in
the name and/or area shall be incorporated into
section 1 of this Article without going through
the provisions prescribed for amending the
Constitution, but through timely intimation in
writing to all chartered Lions Clubs in the
District.
SECTION 1
This District 324-B3 shall have a
permanent Secretariat at Lions District 324-B3
Charitable Trust Building, Royal Garden,
Madurai - Sivagangai Road, Madurai - 20.
where all records, assets, Documents and
accounts of the district administration shall be
maintained. The District Governor shall appoint
such employees as may be necessary for the
secretariat and shall fix their duties, term of
office and emoluments. The District Secretariat
shall function under the guidance and
supervision of the District Governor.
SECTION 1
To provide an administrative
structure for the efficient administration of the
District.
SECTION 2
To promote and co-ordinate the
activities and standardise the administration of
Lions Clubs in the District.
SECTION 3
a) To create and foster a spirit of
understanding among the people.
b) To promote the principles of good
government and good Citizenship.
C) To take active interest in the civic, cultural,
social and moral welfare of the community.,
d) To unite the clubs in the bonds of
friendship, good fellowship and mutual
understanding.
e) To Provide a forum for open discussion of
all matters of public interest,
Provided however, that partisan politics
and sectarian religion shall not be debated
by club members.,
f) To encourage service minded men to serve
their community without personal financial
reward and to encourage efficiency and
promote high ethical standards in
commerce, industry, professions, public
works and private endeavors.
The membership of this District 324-B3 shall consist of only Lions Clubs duly organized and chartered by Lions Clubs International, located and functioning within the territorial jurisdiction of District 324-B3 as detailed in section 1 of Article II
SECTION 1
This Constitution & Bye-Laws
shall apply to and binding on all the chartered
Lions Clubs located and functioning within the
revenue districts detailed in sec. 1 of Article II
supra known as territorial jurisdiction of Lions
Clubs International District 324-B3
SECTION 2
The slogan for this Association
shall be: Liberty, Intelligence, Our Nation's
Safety.
SECTION 3
The motto of this Association shall
be: "WE SERVE"
SECTION 4
This Association shall have an
official insignia as illustrated below.
SECTION 5
This constitution and Bye-laws
shall be effective, subject to provisions of the
Constitution & Bye-Laws of Lions Clubs
International, it's Board Policies and Multiple
District 324 constitution & bye-laws as
amended then and there.
SECTION 6
The fiscal year of the District shall
be the period of one year during which the
Governor holds the office by virtue of section
3(h) in Article VII of this constitution.
SECTION 7
The terms "International"
and'lions Clubs International" wherever occur
shall mean and refer to " The International
Association of Lions Clubs ".
SECTION 8
This constitution shall be supreme
for the functioning of the District Cabinet,
District General Assembly and the Lions Clubs
with in the District Subject to the provisions of
the Constitution and byelaws of Lions Clubs
International and constitution & byelaws of the
multiple 324.
SECTION 9
Where ever the male gender or
pronoun presently appears in this consitution
and byelaws. It shall be interpreted to mean
both male and female persons.
SECTION 1. A member in good standing:
Any member of a Chartered Lions Club in
District 324-B3 who has discharged all the
statutory financial obligations to his/her club
and does not resort to any criminal litigation in
Courts as a member of the Lions Club is called
a good standing member.
SECTION 2. A Club in good standing:
Any chartered Lions Club in this district which
has fulfilled all the statutory financial
obligations to the District, Multiple and
International and so recognized by the
International Association of Lions Clubs is
called a good standing Club.
SECTION 3. A chartered Lions Club:
A Lions Club shall be considered chartered
when its charter has been officially issued by
the International Board of Directors.
SECTION 4. Cabinet Members
The District Governor, First Vice District
Governor, Second Vice District Governor and
the Immediate Past District Governor are
member of the District Cabinet by virtue of their
office and any member in good standing of any
Lions club in good standing, appointed by the
District Governor to serve in any position in the
District Cabinet for the fiscal year is called as
cabinet members.
SECTION 5. (Melvin Jones Fellow)
Any individual Lion who has been conferred
with MJF by the Lions Clubs International is
Called Melvin Jones Fellow.
SECTION 6. (Life Member)
Any individual member, of any club who has
been conferred with life membership by Lions
Clubs International is called as a life member
Lions Clubs International.
SECTION 7. Annual District Convention:
An annual meeting of members of the
chartered Lions Clubs in District 324-B3 duly
organized, as per the official call issued by the
District Governor is called as Annual District
Convention.
SECTION 8. Mid Term Conference:
A meeting of members of the chartered Lions
Clubs in the District 324-B3 duly organised, in
addition to the Annual District Convention,
convened as per the official call issued by the
District Governor in accordance with the terms
of this Constitution and Bye Laws is called as
Mid-Term Conference.
SECTION 1. District Governor:
The District Governor shall be the Chief
Administrative Officer who shall be elected at
the Annual District Convention in the preceding
fiscal year or appointed by the Lions Clubs
International in accordance with the provision
of Constitution and board Policy of Lions Clubs
International
SECTION 2. Vice District Governors:
An election for the office of First and Second
Vice District Governors shall be conducted in
accordance with the provisions of International,
multiple and district Constitution and Bye Laws
in the Annual District Convention every Year.
The First & Second Vice District Governors
shall assist the District Governor in discharging
his duties.
SECTION 3.
a) District Cabinet:
The District shall have a
cabinet comprising the District Governor, First
Vice Distict Governor, Second Vice District
Governor, Immediate Past District Governor
and the following officers appointed by the
District Governor, viz. Cabinet Secertary,
Cabinet Treasurer, Region Chairpersons if the
position is utilized, Zone Chairpersons and
District Chairpersons etc. as suggested by this
Constitution and Bye-Laws
b) The District Governor may appoint such
other officer(s) as he/she may deem necessary
to assist him in the administration and activities
of the District.
The appointment of District Cabinet under
section 3(a) and 3(b) shall not exceed 10% of
the total Strength of Lion members in the
District during the month he is elected for the
position.
c) No principal officer of any chartered Lions
Club viz. President, Secretary, Treasurer shall
hold an office in the District Cabinet in any
capacity whatsoever concurrently,
d) Qualification:
i) District chairperson: Any Past President
of any Lions club or a Lion with 3 years
experience in which period he has served as a
member of the board for one year in the Club
alone shall be appointed.
* All cabinet members appointed by the District
Governor other than Cabinet Secretary,
Cabinet Treasurer, Region Chairperson and
Zone Chairperson are called as District
Chairpersons.
ii) Zone chairperson: He/She shall have
served as President of a Lions Club for a full
term or major portion there of, as member of the
Board of Directors of a Lions Club for not less
than two (2) additional years till Lionistic year
2016-17 and as member of District Cabinet for
not less than two (2) additional years. from the
Lionistic year 2017-18 * With none of the above
being accomplished concurrently.
iii) Region chairperson: He/She shall have
served as Zone chairperson for a full term or
major portion there of when he/she takes office
as Region chairperson.
iv) Cabinet Secretary/Cabinet Treasurer:
He/She shall have served as Region
Chairperson or Zone Chairperson or a Lion
with Seven years experience in which period
he has served as a member of District Cabinet
for Three years when he/she takes office as
Cabinet Secretary / Cabinet Treasurer.
v) Every Cabinet member shall be a member
in good standing from a Lions Club in good
standing in District 324-B3 and he / she should
have completed the financial commitments due
to the District. before the respective cabinet
installation in which period he / she is
appointed.
vi) All the district Chairperson appointed by the
District Governor shall be considered as
approved appointees and their service shall be
considered as qualification where ever the
Lions Clubs International and Multiple require.
e) The District Governor shall be the
chairperson of the District Cabinet.
f) The District Governor shall preside over all
the District Cabinet meetings. In the absence of
the District Governor the First Vice District
Governor, shall preside over the meeting. In the
absence of both, the Second Vice District
Governor shall preside over the meeting. In the
absence of three, the immediate Past District
Governor may preside over the meeting. In the
absence of all the above, any cabinet member
no less than the rank of Region chairperson in
the order of seniority as member of association
may preside over the cabinet meeting. If there
is no such authorized person is available, then
the District Cabinet Officers present appointed
under Article VII Section 3(a) and 3(b) may
elect any one from among themselves,
present, to preside over the cabinet meeting.
g) The District Governor, First Vice District
Governor, Second Vice District Governor,
Immediate Past District Governor, Cabinet
Secretary, Cabinet Treasurer, Region
Chairpersons, Zone Chairpersons and the
District Chairpersons appointed under Article
VII, Section 3(a) and (b) shall be voting
members of the District Cabinet and shall have
one vote each in any meeting.
h) The District Governor and the Vice District
Governors shall be elected at the annual
District Convention of the District held
immediately preceding the fiscal year to which
he or she was elected and shall serve for a term
of one year only, which term shall commence
with the close of the International Convention
held in the year of their election if so held, but if
not, then on 1st July next following their
election and shall terminate with the close of
the International convention held in the
calendar year next following the calendar year
of their election or June 30whichever occurs first. By the time the District
Governor assumes office, he shall have
appointed all the Cabinet Officers.
i) Region chairperson and Zone chairperson
shall not hold the same office for a consecutive
term. Region chairperson or Zone chairperson
shall be appointed only for the Region or Zone
in which his/her club is located.
j) If any officer of the Cabinet ceases to be a
member in good standing in his/her Lions Club
in this District or the Club of which such officer is
a member ceases to be a Club in good standing
he/ she shall cease to be an officer of the
Cabinet.
k) All the District Cabinet Officers appointed by
the District Governor shall hold their respective
office for the fiscal year for which they were
appointed. However the District Governor shall
have absolute power to remove any cabinet
member from office at any time during the fiscal
year with the concurrence of the district
cabinet.
l) Any vacancy in the District Cabinet, except
those of the District Governor, Vice District
Governors and Immediate Past District
Governor may be filled by the District Governor
for the unexpired term thereof.
m) In the event of a vacancy occurs in the office
of District Governor, the First Vice District
Governor shall act as the District Governor and
shall perform the duties of, and have the same
authority as District Governor until such time as
said vacancy is filled by the International Board
of Directors for the remainder of the term as
provided for in the Constitution and Bye-Laws
of Lions Clubs International. In the event of a
vacancy occurs in the office of the Vice District
Governors, the said Vacancy shall remain
unfilled for the rest of the term.
n) No salary shall be paid to any Cabinet
Officers of the District.
SECTION 4. District Cabinet Meetings:
a) Regular - A regular meeting of the District
Cabinet shall be held in each quarter of the
fiscal year, with the first meeting held within
sixty days (60) after the adjournment of the
International Convention. 15 days written
notice for the meeting, mentioning the agenda,
the day, date, time and place as determined by
the District Governor shall be sent to each
officer of the Cabinet, by the Cabinet Secretary.
All the Past District Governors of this District
shall be invited for all the cabinet meetings as
special invitees
b) Special - Special meeting of the Cabinet
may be called by the District Governor at
his/her discretion and shall also be convened
upon written request by a majority of the voting
officers of the district cabinet. Ten (10) days
written notice for such special meeting setting
forth the purpose thereof and the day, date,
time and place determined by the District
Governor shall be sent to each officer of the
District Cabinet. by the District Cabinet
Secretary.
c) Quorum :The presence in person of a
majority of the voting members of District
Cabinet shall constitute a quorum for any
meeting thereof, that is 50% Plus One.
SECTION 5. Region & Zones:
a) The District Governor shall divide the District
into Regions and Zones giving due regard to
geographical locations of the clubs as per the
constitution and bye-laws / board policy of the
Lions Clubs International. All such Regions and
Zones shall be subject to the change by the
District Governor.
b) Each Region and zone shall be under the
charge of a Region Chairperson and a Zone
Chairperson respectively. However the District
Governor shall have the authority to utilize the
position of Region Chairperson, if not utilized,
there shall be no Regions during that District
Governor'sterm.
c) Every Zone chairperson shall be under the
supervision of a Region chairperson within
whose Region his/her clubs are placed.
d) Regional Conference : Meetings of the
representatives of Lions Clubs in each Region,
with the Region chairperson presiding, shall be
held not later than thirty (30) days prior to the
convening date of Annual District Convention,
at times and places fixed by the respective
Region chairperson.
SECTION 6.
a) District Governor's Advisory Committee:
In each Zone, the Zone chairperson, the
President, 1st Vice President, Secretary and
Treasurer of all the clubs in the Zone shall
constitute the District Governor's Advisory
Committee with the Zone chairperson as
chairperson thereof. This Committee shall hold
its first meeting within 90 days after the
adjournment of the International Convention,
the second meeting in November / December
and the third meeting in February I March on
such day, date, time and place as fixed by the
Zone chairperson.
b) District Governor's Honorary Committee:
The District Governor may appoint a Honorary
Committee comprising of, International
officers, Past International Directors, District
Governor, First Vice District Governor, Second
Vice District Governor and Past DistrictGovernors all are members in good standing of
Lions Clubs in good standing in the District.
This committee shall be headed by the
Immediate Past District Governor or any Past
District Governor appointed by the District
Governor shall meet periodically at the request
of the District Governor and function as the
advisory body on any matter that may be
referred to the Committee.
SECTION 1.
a) To provide revenue to defray the
administrative expenses of each District, the
District shall levy annual per capita of Rupees
One Hundred and Fifty (Rs. 150/-) for each
member of the Lions Clubs in the District and
Rupees Seventy Five (Rs. 75/-) for each family
member of the Lions Clubs in the District or
such higher amount fixed through a resolution
adopted by a majority of the delegates/
alternates present and voting at the Annual
District Convention or Mid Term Conference of
the District.
b) Such per capita dues shall be collected by
the District Cabinet from each Lions Club in two
semi annual instalments, the first instalment,
covering the period from July 1 to December 31
and the second instalment, covering the
period from January 1 to June 30.
(c) Family members of the Chartered Lions
Clubs shall not be Charged - Charges like,
LCIF, Governor Service fund, District Directory,
District News Letter as time to time that District
Governors are charging during their visits to the
clubs.
SECTION 2.
a) Each District on enrolment of a New
member shall levy an entrance fee of Rupees
Fifty (Rs. 50) per member or any higher amount
as fixed through a resolution moved and
adopted by a majority of the delegates /
alternates present and voting at the Annual
District Convention or Mid term conference, of
the District.
b) No entrance fee shall be levied by the
District on charter members of newly organised
clubs.
SECTION 3.
The semi annual per capita levy
shall be based upon the membership of each
Club as shown by its Monthly Membership and
Activities report of June and December,
respectively of each year. However, in the case
of a new member, the per capita levy shall be
made on a prorata basis from the month in
which the member's name is reported.
SECTION 4.
Newly chartered or reorganised
clubs shall pay per capita levy to the District on
a prorata basis from the first day of the
succeeding month following the date of its
organisation or reorganisation as the case may
be
SECTION 5.
The district dues collected shall
become and remain as the fund of the District
and shall be disbursed only for administrative
purposes as authorised bythe District Cabinet.
SECTION 6.
The District Governor and his/her
cabinet shall not incur obligations in any fiscal
year resulting in an unbalanced or deficit
budget.
SECTION 7
The District Governor shall; hand
over, pay, transfer, all cash and bank balances
of the District to his/her successor in office, not
later than the date of his/hertermination of office or on June 30 of the fiscal
year, whichever occurs earlier. The District
bank accounts shall not be operated by the
District Governor after his/her successor
assumed office.
SECTION 8
All money, donations ,
contributions, grants etc., received or collected
by the District Governor during the period of
his/her office shall form part of the District
account and be made Subject to audit as
provided in Article X.
SECTION 9
Funds received towards specific
cause shall be spent for that cause only. Any
surplus at the end of the fiscal year shall be
transferred to the Lions District 324 B3
Charitable Trust only.
SECTION 1
The District Governor shall be the
chief editor and have exclusive jurisdiction,
control and supervision over
the official
publication of the District Bulletin.
SECTION 2
The District Governor shall be the
Chief Controller over the District Website.

SECTION 1
Proper books of account, in
mercantile double entry system shall be
maintained for all receipts and expenditure of
the District. The annual financial statements
shall comprise of balance Sheet as on the last
day of the fiscal year, Income and expenditure
account, receipts and payment account, and
Payments Account, Budget provisions and
such other schedules and annexures
incorporating all transactions ofthe district.
SECTION 2
A budget proposal of the District
showing the estimated receipts and payments
for the fiscal year, shall be presented to and
approved by the District Cabinet at the first
Cabinet meeting. Copies of the budget
proposal shall be circulated among all the
Cabinet Officers by mail along with the notice of
the first Cabinet meeting.
SECTION 3
All payments of the district
exceeding Rupees one thousand shall be
made only by A/c payee crossed
cheques/drafts. The Bank accounts of the
District shall be operated jointly bythe
CabinetTreasurer/Secretary and by the District
Governor,
SECTION 4
All expenditure/disbursements of
the District shall be duly authorised by the
District Governor, except when specified
otherwise and shall under no circumstances
exceed the budget.
SECTION 5
a) "The District cabinet shall appoint a
Chartered Accountant or a firm of Chartered
Accountants to audit the accounts of the
District annually or at more intervals, and fix
their remuneration, in its cabinet meeting.
b) Audit of annual accounts of the fiscal year
shall be completed by August 31 of the
succeeding fiscal year
c) Copies of audit report along with final
accounts of the District, incorporating therein
the budget provisions as approved by the
Cabinet and financial report of the Cabinet shall
be sent to Lions Clubs International and to all
Lions Clubs in the District before the end of
September month of the succeeding fiscal
year.
d) Copies of the final accounts of the District,
along with audit report and financial report of
the Cabinet shall be placed at the business
session of the Annual District Convention of the
following fiscal year and shall be made
available to all delegates/ alternates attending
the convention and adopted.
It is the responsibility of the District Governor of
the fiscal year to which the accounts relate, to
answer questions and give explanation on
matters arising from discussions on the
accounts at the session of the Annual District
Convention.
SECTION 6
The District Cabinet Secretary/
Treasurer shall submit at the Annual District
Convention of the fiscal year a statement of
receipts and payments prepared up to thirty
days (30) priorto the Convention.
SECTION 7
Any Lions Club or a Lions Member
in the District that who hosts the Annual District
Convention, Multiple Convention, District
Cabinet- Installation, Regional Conference,
District Award Function, Lioness / Leo Meet or
any other District Meeting: shall submit
Accounts with receipts and Payments, to the
District Cabinet at the next Cabinet meeting
that follows:
SECTION 1
An Annual Convention of the District shall be
concluded each year at least three (3) days
prior to the convening date of the multiple
district convention at a place, selected by the
District Cabinet amongst the invitations
received at the last Annual District Convention
and or received earlier in writing at a date and
time fixed by the District Cabinet, Provided that
when in any year a Multiple convention is
hosted by this sub district, then the Annual
District Convention for that year may be held
just prior to the Multiple convention. The District
Governor shall Preside over the proceedings of
the Annual District Convention and in his or her
absence the First vice District Governor or
Second Vice District Governor in that order and
in the absence of all the three, the immediate
Past District Governor shall Preside. In the
absence of all the four, the senior most Region
Chairperson by membership in the association,
who does not contest in any election in the said
Convention shall preside.
SECTION 2
A Convention Sergeant-at-Arms
and such Assistant Sergeants-at-Arms as
deemed necessary shall be appointed by the
District Governor.
SECTION 3
(a) Each Chartered Lions Club in good
standing in the District shall be entitled to be
represented at the Annual District Convention.
(b) Each Chartered Lions Club shall be entitled
in the Annual District Convention to one voting
delegate and one alternate delegate for every
ten (10) members of the club or major fraction
thereof, who have been enrolled for at least one
year and a day in the said club as shown by therecords of the international office on the 1st
day of the month, immediately preceding the
month in which the District Convention is held.
(c) Major fraction referred to in this section
shall be five (5) or more members.
(d) Every delegate/alternate shall be
registered at the Annual District Convention on
payment of the prescribed registration fee.
(e) Only registered voting delegate / alternate
delegate of a Chartered Lions Club in good
standing, shall be certified and credential shall
be issued by the Credential Committee
functioning at the venue of the Annual
Convention / Mid Term Conference.
SECTION 4
Each certified delegate present in
person or in his/her absence each certified
alternate delegate present in person may cast
one vote only, on each issue to be voted upon
at the Convention. Unless otherwise specified,
the affirmative vote of a majority of the said
delegates/alternates or any issue shall be the
act of the Annual District Convention. In case of
tie, the presiding officer shall have a casting
vote.
SECTION 5
Only delegates / alternates and
members in good standing of Lions Clubs in
good standing and who have registered
themselves at the Convention paying delegate
registration fee shall alone be permitted to
participate in the deliberations of the Annual
District Convention.
SECTION 6
District Governor and Each Past
District Governor who is a member in good
standing of a Chartered Lions Club of this
District shall be entitled to full delegate
privileges and shall not be included in the
delegate quota of his/her Club in any of the
Annual District Convention / Mid-Term
Conference.
SECTION 7
The District Cabinet shall fix the
delegate registration fee for the Annual District
Convention at the cabinet and the same shall
be collected under procedures set by the
cabinet from each delegate, alternate,
Lionesses, Leos and guests attending the
Convention to defray cost of meals,
entertainment and hospitality expenses.
SECTION 8
The District chairperson -
Convention and the members of the
Convention Steering Committee shall be in
charge of all arrangements for holding the
Annual Convention.
SECTION 9
Good standing may be acquired
by any Lions Club at the Annual District
Convention by paying all indebtedness to the
District, Multiple and International before the
close of the issue of credentials, which is
established under the rules of procedure of the
Convention. Credentials shall be issued to all
registered delegates/alternates of Lions Clubs
in good standing at the Convention.
SECTION 10
Fifty (50) certified delegates/
alternates in attendance at the annual
convention shall constitute quorum for the
session.
SECTION 11
An official report of the Annual
convention shall be mailed to the Lions Clubs
International and to all Lions clubs in the District
by the District cabinet Secretary within sixty
(60) days from the Conclusion of
theconvention.
SECTION 12
The District Convention may
take appropriate action on all matters
consistent with the Constitution and Bye Laws
of Lions Clubs International and may adopt
resolutions recommending action by the
Multiple Council and Lions Clubs International.
SECTION 13
The District Convention shall
transact the following business:-
(a) Election of District Governor , First Vice
District Governor and Second Vice District
Governor for the following fiscal year.
(b) Endorsing the candidature for International
Director or International Second Vice
President.
(c) Adopting audited accounts of the District of
the previous fiscal year.
(d) Considering the statement of receipts and
payments for the current fiscal year.
(e) Consideration of motions proposed through
the Resolution Committee and/or the
Constitution and Bye Laws Committee of the
convention.
(f) Review / Report on the performance of the
District Administration.
(g) Consideration of amendments to the
Constitution and Bye Laws of the District,
submitted by or through the Constitution and
Bye Laws Committee of the convention.
(h) Consideration of, motions/ amendments/
resolutions, submitted through the respective
Committees and pass resolutions
recommending actions by Multiple
Council/Lions Clubs International, as the case
may be.
(i) Any other business with the permission of
the presiding officer consistent with this
constitution or multiple district constitution or
the constitution and board policies of Lions
Clubs International.
SECTION 14
(a) A Mid Term District Conference may be
held (except to conduct election/endorsement)
at the discretion of the District Governor and his
Cabinet for transacting any business that may
be considered necessary following the same
procedure as detailed in this Article for
convening Annual District Convention.
(b) Such Mid Term Conference may adopt
decisions/resolutions consistent with the
provisions of this Constitution and Bye Laws.
SECTION 1
The rules of procedure for filing
complaints concerning election to the office of
District Governor, First Vice District Governor
and Second Vice District Governor shall be as
per Constitution and Bye Laws of International
and Multiple 324.
SECTION 2
Complaints of disputes between
the clubs between the Lion members,
members and the clubs between the Club and
the District, may be made to the District
Governor in writing setting forth the grounds
and enclosing copies of evidences relied upon
and shall be settled by following the provisions
as laid down in the constitution byelaws and
board policies of Lions Clubs International.
SECTION 3
Every Lions club in the District
who had failed to pay any indebtedness due to
Lions Clubs International, Multiple District and
to this District shall forfeit its good standing and
shall remain so till all its indebtedness, is paid in
full. Delegates representing such Clubs shall
have no right to participate or vote in any
session of the annual/mid term conference.
SECTION 4
A member of Lions Club shall be in
good standing if he/she is not in arrears with
respect to any indebtedness due to the club.
Only members in good standing may hold any
District office or exercise voting privilege or any
other privilege under the Constitution.
SECTION 1
The obligations of each chartered
club shall include:
a) To adopt a Constitution and Bye Laws for the
club in compliance with District, Multiple and
International Constitituon and byelaws and
board policies.
b) To pay all dues of the current fiscal year and
arrears of the previous years to the District,
Multiple and Lions Clubs International and
keep the club always in good standing.
c) To hold not less than one meeting of the
Board of Directors and two regular meetings of
the club every month and enforce regular
attendance by all members.
d) Except as otherwise provided herein,to
collect from each member, annual dues to
cover International, Multiple and District dues
and such other expenses as are necessary for
club administration and hospitality as per the
recommendation of the Board of Directors and
approved by the general body of the club.
f) To provide a forum for open discussion of all
matters of public interest, provided however,
that partisan politics and sectarian religion shall
not be debated by club members.
g) To encourage service minded people to
serve their community without personal
financial reward, and to encourage efficiency
and promote high ethical standards in
commerce, industry, profession, public works
and private endeavours.
h) To submit regularly monthly membership
and activities report to the International Office,
the District Governor, Region chairperson and
Zone chairperson, in the prescribed forms
provided by Lions Clubs International,
containing such information as may be
required.
i) To report semi-annually to the International
Office and District Governor the financial
statements of the club.
j) To elect officers annually, not later than April
15th, whose term of office shall commence
from July 1, following their election.
k) To comply with filing of PU 101 form before
April 30, every year.
l) To thoroughly investigate the background
and satisfy about the worthiness of all persons
proposed for membership in the club, Said
investigation shall include inquiries in the
community where the proposed individual
resides or has a place of, business or is
employed.
m) To induct new members after giving proper
orientation about the movement and its
objects, code of ethics etc.,
n)To protect, preserve and promote the image
of "Lions Clubs International".
o) To abide by the policies, programs and
requirements as determined from time to time
by the International Board of Directors, Multiple
District and this District.
SECTION 1
This constitution and bye laws
shall come into full force with effects from 2nd
day of January 2015.
SECTION 2
Two printed copies of the
Constitution & Bye-laws of the District shall be
supplied to each Lions Club in the District @
Nominal Cost. Subsequent changes and
amendments shall be notified to all Lions Clubs
in the District. from time to time. Additional
copies of the District constitution shall be made
available on payment of Rs. 50/- per copyto
clubs on request.
SECTION 1
a) Prior to forty five (45) days to the Annual
District Convention, the District Governor shall
appoint, by notification, a Nominating
Committee, with a Past District Governor as
chairperson and not more than four (4)
members, each of whom shall be current
President in good standing of different clubs in
good standing in the district.
b) The names and address of members so
nominated shall be sent to all the clubs, In the
district atleast (20) days prior to the convening
of the district convention.
SECTION 2
a) Any member of a Lions Club who fulfills the
qualification as laid down by the Constitution
and Bye Laws of Lions Clubs International can
be elected at the Annual District Convention as
District Governor or First or second Vice District
Governor provided (a) his or her name is
proposed through a resolution adopted by the
Board of Directors of his/her home club and
ratified by the General Body of the club or if he
or she is proposed by majority of- clubs in the
district in case his/her home club does not
propose him or her.
b) The proposal in writing duly certified by the
President and Secretary of the club, and
enclosing documentary evidence for
qualification, shall be sent, so as to reach the
chairperson of the Nominating Committee not
later than seven (7) clear days prior to the
convening of the Annual District Convention.
Fax transmission will not be considered as
valid nomination.
c) If no nomination was as received and/or if the
nomination received was found not valid, then,
but then only, nomination for the office(s) may
be made from the floor of the General
Assembly.
d) Objections on nomination, if any, shall be
filed, in writing, only by the other contesting
candidate(s) at least one clear day before the
convening date of the Annual District
Convention. Copies of such objections shall
also be given to the District Governor and other
contesting candidates.
e) Such objections shall be scrutinized by the
Nominating Committee and after giving
opportunity of being heard to the respective
parties, the chairperson, Nominating
Committee shall give the Committee's decision
in writing to the District Governor, before
presenting the report at the inaugural session
of the Annual District Convention. Copy of its
decision shall also be given to the contesting
candidate(s). Subject to the appellate
jurisdiction of the Multiple/Lions Clubs
International, the decision of the Nominating
Committee shall be final in respect of the
validity of the nominations filed.
f) Withdrawal of nomination if any, shall be
intimated in writing only by the candidate to the
chairperson of the Nominating Committee at
least twenty four (24) hours before the
commencement of voting. No withdrawal shall
be permitted after the above said dead line.
g) Nomination so received, shall be
scrutinised by the Nominating committee and
the proposal(s) shall be submitted to the District
Governor, for holding election, and shall be
placed before the General Body at the District
Convention.
SECTION 3
The District Governor and First Vice District
Governor election shall be conducted at the
Annual District Convention by secret printed
ballot, with the District Governor and First Vice
District Governor candidate required to secure
a majority of the votes cast by the delegates
present and voting in order to be declared
elected.
SECTION 4
a) If there be only one valid nomination for the
office of the Second Vice , District Governor, the
election shall be conducted by the secret
printed ballot with the Second Vice District
Governor candidate required to secure
majority of the votes cast by the delegates
present and voting in order to be declared
elected.
b) The Second Vice District Governor election
shall be conducted by a secret printed ballot. if
there be more than one valid nomination and
the candidate securing the majority of the votes
cast shall be declared elected.
* For the purpose of such election District
Governor, First Vice District Governor and
Second Vice District Governor, the majority is
defined as more than one half of the total valid
cast votes excluding blanks and abstentions.
* For the purpose of Second Vice District
Governor Election, if on first ballot, and
subsequent ballots no candidate receives a
majority, the Candidate or tied candidates
receiving the lowest number of votes shall be
eliminated and balloting shall continue until one
candidate receives a majority. Incase of a tie on
any ballot, balloting shall continue on the tied
candidates untill one is elected.
(c) The Election Committee of the Annual
District Convention shall, conduct the electionfor the office of District Governor and Vice
District Governors by secret printed ballot and
shall fix the hours on the last day of the Annual
Convention during which the election shall take
place.
SECTION 5
Each candidate for the office of
District Governor, First and Second Vice
District Governor shall be entitled to present
himself/herself, at the session of the Annual
District Convention, with a nominating speech
of not more than 5 minutes, and one seconding
speech by any other member not more than
5 minutes.
SECTION 6
A candidate for the office of
District Governorshall:
a) Be an active member in good standing of a
chartered Lions club in good standing in the
district.
b) Have his/her name proposed by the board of
Directors of his/her club and ratified by the
General Body of the club or his/her name is
proposed by a majority of clubs in the District.
c) Currently be serving as the First vice District
Governor within the District from which he or
she is to be elected.
d) Only in the event the current first Vice
District Governor does not stand for election as
District Governor or if a vacancy exists at the
time of the District Convention, any club
member who fulfills the qualifications for the
office of Second Vice District Governor as set
forth in Constitution and Bye Laws of Lions
clubs International and who is currently serving
or who has served one (1) additional year as a
member of the District Cabinet shall fulfil the
requirements of sub section (c) of this section.
SECTION 7
A candidate for the office of First Vice District
Governor shall:
a) Be an active member in good standing of a
chartered Lions Club in good standing in
his/her District.
b) Have his/her name proposed by the Board
of Directors of his / her club and ratified by the
General Body of the Clubs or his / her name is
Proposed by a majority of the clubs in the
District.
c) Currently be serving as the Second Vice
District Governor within the District from which
he or she is to be elected.
d) Only in the event the current Second Vice
District Governor does not stand for election as
First Vice District Governor, or if a vacancy in
the position of the second Vice District
Governor exists at the time of the District
Convention, and club member who fulfills the
qualifications for the office of second Vice
District Governor as set forth in
this Constitution bye laws shall fulfill the
requirements of sub section (C) of this Section.
SECTION 8
A candidate for the office of Second Vice
District Governor shall:
a) Be an active member in good standing of a
chartered Lions Club in good standing in
his/her District.
b) Have his/her, name proposed by the Board
of Directors of his / her club and ratified by the
General Body of the Club or his / her name is
Proposed by a majority of clubs in the District.
c) Has served or will have served at the time he
or she takesoffice:
1) as a President of a Lions Club for a full term
or major portion thereof, and a member of the
Board of Directors of a Lions Club for no less
than two (2) additional years, and
2) as zone chairperson or Region chairperson
or Cabinet Secretary and /or Cabinet Treasurer
for a full term or major portion thereof,
3) With none of the above being accomplished
concurrently.
District Governor:
SECTION 1
Underthe general supervision of
the International Board of Directors, he/she
shall represent the Association in this District.
In addition, he/she shall be the Chief
Administrative officer and shall have direct
supervision over all Lions Clubs in this district.
His/her specific responsibilities shall be to:
a) Further the Purposes and Objects of Lions
Clubs International.
b) Supervise the organisation of new Lions
Clubs,
c) Promote the Lions Clubs International
Foundation and all service activities of the
Foundation.
d) Endeavour to visit each Club in his District at
least once during his term of office.
(e) preside over all Cabinet Meetings, District
Convention and other District Meetings,
f) exercise such supervision and authority over
Cabinet Officers and District Committee
appointees as provided in this district
constitution and the constitution of Multiple and
International and it's board policies.
g) Prepare a budget estimates for the district
administration for the fiscal. year and get it
approved at the first cabinet meeting.
h) Submit a current itemized statement of
district receipts and payments to the annual
district convention prepared upto 30 days prior
to the date of convention.
I) Deliver forthwith, at the end of his/her term of
office, all district accounts, funds and records to
his/her successor in office, and
J) Issue a printed official call for the Annual
District convention at least forty five (45) days
prior, to the convening date, stating the place,
date and the hour thereof, and communicate to
all clubs in the district the various committees
appointed by him, together with the names of
the respective chairperson and members.
Vice District Governors
SECTION 2
The First Vice District Governor
subject to the supervision and direction of the
District Governor, shall be chief administrative
assistant to the District Governor.
His or Her Specific responsibilities shall
include:
(a) Attend all regular and special meetings of
the cabinet.
(b) Further the purposes and objects of Lions
Clubs International.
(c) Play an active role in membership
Development including extension of new clubs
and leadership development within the District.
d) Perform such administrative duties as may
be assigned by the District Governor,
e) Conduct all district meetings in the absence
of District Governor.
f) Actively participate in all Cabinet, Councils
meetings.
g) Perform such other functions and acts as
may be required by the International Board of
Directors through Vice District Governor's
Manual and other directives.
h) Be actively engaged in all matters to be
continued during the next year
i) At the request of the District Governor
supervise appropriate district committees.
SECTION 3
The Second Vice District Governor is subject to
the supervision and direction of the district
Governor his or her specific responsibilities
shall be:
(a) Further the purposes and objects of Lions
Clubs International
.
(b) Actively participate and inspire other district
officers to administer and promote effective
membership growth and new club
organization.
(c) Perform such duties as assigned by the
District Governor including assisting the
District leadership chairperson.
(d) Perform such other functions and act as
required by the policy of the association
(e) Actively participate in all cabinet meetings
and conduct all meetings in the absence of the
District Governor and the First Vice District
Governor.
(f) Participate in the preparation of the District
Budget.,
(h) Actively engage in all matter to be
continued during thefollowing year.
(i) At the request of the District Governor,
Supervise appropriate District committees and
participate in the review of strengths and
weaknesses of the district
CABINET SECRETARY:
SECTION 4
The cabinet secretary shall
function under the supervision and direction of
the District Governor his/her specific duties
shall be. to:
a) Under directions of the District Governor,
convene Cabinet meetings, issue written
notice to all cabinet officers, setting forth the
date', time, place and agenda forthe meeting...
b) Keep an accurate record of the
proceedings of all the meetings of the cabinet
and withinfifteen (15) days after each meeting,
forward copies of the minutes of the cabinet,
and to lions clubs international.
c) Record the proceedings and keep minutes
of the annual/mid term district convention and
furnish copies of the same to lions clubs
international, cabinet officials, past district
governors and to all the clubs in the district
within sixty days after the close of the said
convention.
d) Assist the district governor and the cabinet
in conducting the business of the district and
perform such other duties as are specified or
implied in this constitution and bye-laws or as
may be assigned from time to time by the
district governor and/or the cabinet.
e) Sign all notices and documents issued by
the District
f) Receive all the Monthly Membership and
Activities Report from the clubs and forward
the Actively participate in all Cabinet,
Councils meetings.
copy to the International Office and promptly
report to the District Governor about non
receipt of the same for taking appropriate
action;
g) Submit administrative reports of the District
at all Cabinet meetings.,
h) Administer District contest rules
District Cabinet Treasurer:
SECTION 5
The cabinet Treasurer shall
function under the supervision and direction of
the District Governor.
His/her specific duties shall be to;
a) Prepare the annual budget for the District
Administration, present the same in the first
cabinet meeting for its approval.
b) Raise bills on time with the approval of the
cabinet, on all chartered lions clubs for per
capita and other amounts due from the Clubs.
c) Collect and issue printed receipts for all
amounts received on behalf ofthe district.,
d) Deposit all money received in the bank(s)
accounts in the name of the District as directed
bythe District Governor.
e) Sign cheques jointly with District Governor
and disburse payments, under instructions of,
the District Governor. All cheques /drafts
should be crossed a/c payee only.
f) Keep the district accounts in mercantile
double entry system and maintain proper
books, vouchers and records for all receipts
and payments by the District and get them
audited as provided in this Constitution.
g) Present at each Cabinet meeting, a
receipts and payments account of the District,
prepared up to seven (7) days prior to the
convening date of the meeting.
h) Present at the Annual District Convention a
receipts and payments account of the district,
prepared up to thirty (30) days prior to the
convening date of the convention.
i) Present the annual receipts and payments
accounts of the District in the first cabinet
meeting of the succeeding fiscal year.
j) Submit the District, Multiple and
International Arrears of the Chartered Lions
Clubs in the District to the Succeeding Cabinet.
k) Present the annual audited accounts of the
district, with audit report, at the second cabinet
meeting of the succeeding fiscal year.
l) Present for adoption audited accounts of
the district with audit report, at the sessions of
the Annual District Convention next following
the fiscal year to which the accounts related,
and answer any questions and give
explanation on such accounts.
Region chairperson
SECTION 6
The Region chairperson if the
position is utilised during the District
Governor's term, shall function under the
supervision and direction of the District
Governor:
His/her specific duties shall be to:
a) assist the District Governor in promoting
Lionism, his/her region by performing such
duties as may be delegated from time to time by
the District Governor.
b) endeavor visiting every club in his/her
region.,
c) assist Zone Chairperson in his/her Region
in the performance of their duties.
d) play an active role in organising new clubs,
strengthening/reorganising weak clubs and in
membership growth in his/her Region.
e) organise and preside over the Regional
Conference convened at least one month prior
to the Annual District Convention, provide a
forum to all club members in his/her Region,
develop fellowship and motivate membership
growth in the Region.
f) submit the accounts of the Regional
Conference duly audited by a chartered
accountant, appointed by the steering
committee of such conference, audit report, at
the Cabinet meeting, next following such
conference
Zone chairperson
SECTION 7
The Zone chairperson shall
function under the supervision and direction of
the District Governor.
His/her specific duties shall be to:
a) assist the District Governor in promoting
Lionism in his/her zone by performing such
duties as may he delegated from time to time by
the District Governor.
b) organise as chairperson of Zonal Advisory
committee no less than three zone meetings
comprising the members of District Governor's
Advisory Committee, in his/herzone, as
specified by this Constitution.
c) prepare a report of each zone meeting in
the forms supplied and send each copy withinfive (5) days from the date of such meeting to
Lions Clubs International, District Governor
and his/her Region chairperson.
d) attend frequently the board meetings of
clubs in his/her zone and ensure that all clubs
are functioning under a duly adopted
Constitution and Bye laws.
e) play an active role in organising new clubs,
strengthening/reorganising weak clubs and in
membership growth in his/her zone.
f) encourage inter-club meetings and social
activities.
District Chairperson:
SECTION 8
District Chairperson shall function
under the supervision and direction of the
District Governor:
Their specific duties shall be to:
a) assist the District Governor in promoting
Lionism in the district performing such duties as
may be delegated from time to time by the
District Governor.
b) take effective steps motivating service
activities by member clubs under their
respective portfolios besides organising forum
for discussion, seminars etc.,
District Governor's Cabinet:
SECTION 9
a) The District Cabinet shall assist the District
Governor in the performance of his/her duties
and in the formulation of administrative plans
and policies promoting Lionism in the District..
b) Function in an advisory/administrative
capacity only.
c) Assist all Zonal membership advisors,
motivate member clubs in the district in
membership growth, orientation for new
members and retention and extension of new
clubsetc.
d) Receive from the District Governor
periodical reports and recommendations that
concern the clubs and zones;
e) Adopting the annual budget of the district
administration, authorising and supervising
collection Of per capita dues by the Cabinet
Treasurer and disbursement of funds towards
legitimate expenses of the expired. district
administration.
f) Provide for audit of the accounts of the
district as provided in this Constitution.
g) Secure, semi annually or more frequently
administrative and financial reports from the
Cabinet Secretary/Treasurer.
h) With the District Governor's approval fix
definite schedule of dates, time and place of
Cabinet Meetings to be held during the fiscal
year.
SECTION 1
(a) The Credentials Committee of
the Annual District Convention or Mid Term
conference shall be comprised of the District
Governor, Cabinet Secretary, Cabinet
Treasurer and two other Lions appointed by the
District Governor. The chairperson of the
committee shall be the District Governor. It
shall be the duty of this committee to certify the
validity of the credentials issued to delegates
and alternates, and to report the total number of
voting delegates and alternates certified, at the
commencement of business session of the
Convention / Mid-Term Conference.
b) The Credential Committee shall under no
circumstances issue credentials to any
delegate/ alternate before actual realisation Of
all dues (District, Multiple and International)
from his/her club, and shall only accept either
cash or demand draft towards such dues.
Explanation: the amount shown as arrears
payable as per the International Recap
statement and / or District Cabinet Treasurer's
statement shall be considered as amount due
from the Club at the time of issue of credentials.
c) The Credential Committee shall, at the
request of the contesting candidates, provide
the list of voting delegates /alternates and
voting strength of the clubs in the District.
SECTION 2
The District Governor shall
appoint, the following District Convention
Committees and any other necessary
appropriate committees as desired by him with
their names and addresses printed in the
official call.
i.Convention Committee
ii.Rules of Procedure Committee
iii.Election Committee
iv.Resolutions Committee
V.Constitution and Bye-laws Committee
vi.Necrology Committee
Each of these committees shall be constituted
under the Chairperson ship of one past district
governor and consisting of not more than four
(4) members, each of whom shall be Current
president of different chartered Lions clubs in
good standing in the District. Provided, every
candidate to the office of District Governor, Vice
District Governors may nominate one
additional member to the Election Committee.
In the event of any candidate withdrawing from
contest, his/her nominee in the Committee
shall cease to be a member of the Committee.
SECTION 3
During the polling and counting of
votes, the representatives of each candidate
shall be present. The chairperson of the
Election Committee, after completion of polling
and counting of votes, shall announce the
result at the session of the Convention and
shall give in writing the polling result to the
District Governor.
SECTION 4
All ballot papers polled shall be
kept in safe custody, with the District Governor,
in the presence of the representatives of the
candidates until the time for filing election
appeal exored.
SECTION 5
The ballot papers may be
destroyed after the said time limit referred to in
article XII of this Constitution and the provisions
of the Multiple and International Constitution
provided; no appeal is pending.
SECTION 1
The District Governor shall arrange
the order of business for the Annual District
Convention / Mid-term District Conference.
Cabinet meetings and other meetings as the
case may be and the same shall bethe orderof
thedayatall sessions.
SECTION 2
Unless otherwise provided in this
Constitution and Bye Laws, or in the Multiple
International Constitution and Bye Laws, or in
the rules adopted for the meeting, or by local
statute or common law, all questions of order or
procedure with respect to any meeting or
action of the district, its cabinet, any committee
appointed hereunder, or any Lions club or
organisation or committee operating there
under shall be determined in accordance with
ROBERT'S RULES OF ORDER newly revised.
International Director and Second Vice
President Nominees
SECTION 1
Subject to the provisions of the
International Constitution and Bye laws any
member of a Lions club in the District seeking
endorsement at a District Convention as a
candidate for the office of International Director
or International second Vice-President shall:
a) Deliver (by mail or in person) written notice of
Intention to the District Governor, no less than
30 days prior to the convening date of the
Annual District Convention at which such
question of endorsement is voted upon
b) Deliver with said notice of intention evidence
of fulfillment of qualifications for such office set
forth in the International Constitution and Bye-
laws.
c) If this District is hosting the Multiple
Convention, in any year, it shall not entertain
any proposal for endorsement for the post of
International Director / Second Vice President
during thatyear.
SECTION 2
Each notice of intention so delivered
Shall be transmitted forthwith bythe District
Governor to the chairperson, Nominating
Committee of the Annual District Convention,
which shall review and perfect the same, by
obtaining from each prospective candidate any
additional evidence of such intention and
qualification as may be necessary under the
International Constitution and Bye-Laws and
shall place at the Annual District Convention
the name of each such prospective candidate
who has fulfilled said procedural and
constitutional requirements.
SECTION 3
Each such nominee for
endorsement shall be entitled to present'
himself/ herself with a nominating speech of not
exceeding five (5) minutes and one seconding
speech of not more than five (5) minutes
duration, at the session of the Convention.
SECTION 4
The vote on the question of
endorsement shall be by secret printed ballot,
unless there shall be only one nominee seeking
the same, in which event a voice vote may be
taken. The nominee receiving the highest
number of valid votes cast shall be declared
endorsed (elected) at the Convention . In the
event of a tie or failure of a nominee to receive
the required majority, on any ballot, balloting
shall continue with respect to the two nominees
only, who received the largest number of votes
on the previous ballot, until one receive the
required majority of the votes cast, The
candidate getting the highest valid votes shall
be declared endorsed (elected).
SECTION 5
Certificate of Endorsement at the
District Convention shall be made in writing to
the International Office and Multiple Council by

requirements there for set forth in the
International Constitution and Bye-Laws.
SECTION 6
No endorsement of any
candidature of any member of a Lions club in
this District shall be valid unless and until the
provisions of this ArticleV have been met.
SECTION 1
These Bye-Laws may be
amended only at an Annual District Convention
/Mid-term District Conference by resolution
reported by the Constitution and Bye-Laws
Committee and shall be adopted by two third
majority for constitution amendment and
simple majority for Bye-Laws amendment.
SECTION 2
No amendment shall be so
reported or voted upon unless the same shall
have been furnished in writing, to each Lions
club in the district not less than fifteen (15) days
prior to the convening date of the Annual
District Convention / Midterm District
Conference with notice clearly indicating that
the same shall be voted upon.
SECTION 3
Unless otherwise specified, every
amendment to the Constitution and Bye Laws,
shall become effective from 1st of July following
the District Annual Convention unless
otherwise specified in the amendments.
SECTION 4
Re-Districting resloutions shall be
adopted @ the Annual District Convention only.
A resolution of Re-districting of the District
Adopted by the delegates of its Annual District
Convention and So reported shall be adopted
by a two third majority of the votes cast and as
per byelaws of International and its Board
Policies.
This Constitution and Bye-Laws shall take effect from the 2nd day of January 2015.
